1. Agreement to these terms
These terms are an agreement between Guru Labs, L.C., a Utah limited liability company ("Guru Labs"), and the organization that opens a LabConsole account (the "customer"). The person who opens the account, or who accepts an invitation to administer it, represents that they have authority to bind that organization. Using labconsole.com, app.labconsole.com, or any LabConsole API constitutes acceptance of these terms.
LabConsole is a business service for organizations that deliver technical training. It is not offered to individuals for personal use, and account holders must be at least 18 years old.
2. The service
LabConsole provides hosted virtual training classrooms: lab virtual machines built from Guru Labs templates or from images the customer uploads, browser-based console access for instructors and students, an instructor grid with live views of student screens, presentation and communication features, and REST and MCP APIs. The service runs on hardware Guru Labs owns and operates in its Salt Lake City, Utah datacenter.
Access is currently granted through an approval step after signup. Features may be added or changed as the service develops. A change that materially reduces a capability the customer pays for takes effect no sooner than 30 days after notice to the organization's administrators.
3. Accounts and organizations
Each customer operates one or more organizations. Organization administrators control membership, send invitations, assign the administrator and manager roles, and manage classrooms. The customer is responsible for everything done under its accounts and access credentials.
Students join classrooms with access codes and do not create accounts. An access code admits anyone who holds it, so codes deserve the same handling as passwords: distribute them only to the intended class, and expect anything done from a station to be attributed to the organization that owns the classroom. Note that Guru Labs must be notified promptly of any suspected unauthorized use of an account.
4. Acceptable use
LabConsole classrooms exist to deliver training. Lab machines have outbound internet access, and the customer is responsible for what its instructors and students do with it. The following are prohibited from the service and from every lab machine:
- unlawful activity or content, including content that infringes the rights of others;
- attacking, scanning, or disrupting systems that are not part of the customer's own classrooms;
- sending unsolicited bulk email;
- mining cryptocurrency or other sustained computation unrelated to training;
- circumventing usage metering, organization isolation, or other platform controls;
- reselling or white-labeling access without a written agreement with Guru Labs.
Guru Labs may suspend a machine, classroom, or organization immediately when its behavior endangers the platform, other customers, or third parties. Suspension for nonpayment follows the separate process in section 6.
5. Customer content and images
The customer owns what it uploads: VM images, courseware, files, and classroom content. The customer grants Guru Labs a license to store, copy, convert, and run that content solely to provide the service. Guru Labs claims no other rights to it and does not use customer content to train machine-learning models.
The customer warrants that it holds the rights needed for everything it uploads. This includes the operating system and software licenses for uploaded VM images: bringing an image means bringing its licenses.
6. Fees and billing
Fees follow the published pricing at labconsole.com/pricing/ or a signed order form. Subscriptions bill monthly. Accounts with a card on file are charged automatically each billing period; accounts approved for invoicing pay per their invoice terms. Card numbers are entered in the browser and go directly to Intuit, the payment processor; they never reach or reside on Guru Labs systems. Guru Labs stores only the card brand, the last four digits, and an opaque payment reference.
A failed charge is retried and the organization's administrators are notified. Continued nonpayment suspends the organization; access is restored when the balance is paid. Fees are exclusive of taxes, which are the customer's responsibility. Price changes take effect at the start of a billing period, on at least 30 days' notice. Fees already paid are not refunded except where the law requires.
7. Availability and support
Guru Labs operates the service with the intent that it be available whenever classes run, but does not guarantee uptime under these terms. A service-level agreement is available only as a separately signed contract. Scheduled maintenance avoids booked class windows where possible.

8. Warranties, liability, and indemnity
The service is provided as is. Guru Labs disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. Neither party is liable to the other for indirect, incidental, special, or consequential damages, or for lost profits or lost data. Guru Labs' total liability under these terms is capped at the fees the customer paid in the 12 months before the event giving rise to the claim. Nothing in this section limits liability that cannot be limited by law.
The customer will defend and indemnify Guru Labs against third-party claims arising from the customer's content or from use of the service in violation of section 4.
These terms are governed by the laws of the State of Utah, and disputes are resolved in the state or federal courts of Salt Lake County, Utah.
9. Termination
The customer may close its account at any time; billing stops at the end of the current period. Guru Labs may terminate for a material breach that remains uncured 30 days after notice, or immediately for a violation of section 4.
When an account closes, running classrooms are torn down. Uploaded images and courseware remain available for export for 30 days after closure and are then deleted.
10. Changes and contact
Guru Labs may update these terms. Material changes are emailed to organization administrators at least 30 days before they take effect; continued use after that date constitutes acceptance. Questions about these terms: [email protected].
